Investing Through a Holding Company in Canada

A holding company changes where your corporate investments sit. It does not change how they are taxed.

By Shea Sanche, CFP® · Last reviewed: October 2026

A holding company is easy to create. It is not always easy to justify. It earns its place when it has a defined job inside a broader plan.

One job owners often give it is investing. This article looks at what a holding company changes for your corporate investments, and what it does not. It is educational. Your accountant confirms your corporation's figures, and the decision to set one up belongs with you, your accountant and your lawyer.

What a holding company is

A holding company is a separate corporation. It usually owns the shares of your operating company, receives dividends from it, and holds cash and investments.

The simple picture: the operating company earns the business income and carries the business risk. The holding company holds assets. You control both.

In general, dividends can move from the operating company up to a connected holding company without immediate personal tax. That is the path surplus takes. Anti-avoidance rules can apply, which is one reason this is set up by your accountant and lawyer.

You do not need one to invest. A corporation can hold an investment account in its own name, whether it is an operating company, a professional corporation or a holding company.

What changes, and what does not

QuestionIn a holding company
Where the assets sitChanges. Surplus is held apart from the operating company's day-to-day risk. It is not automatic protection. Timing matters, and so do any debts the holding company has backed.
The paperworkChanges. Another corporation, another tax return and more tax accounts to track.
How investment income is taxedDoes not change. Interest and most foreign income are fully taxable at high rates. Half of a capital gain is taxable.
The $50,000 passive income lineDoes not change. Associated corporations are counted together.
The capital dividend account and refundable taxStill apply. The holding company has its own balances to track.

The passive income rule follows you

A Canadian-controlled private corporation gets the federal small business rate on up to $500,000 of active business income. The federal rate is 9% with the small business deduction and 15% without it.

When the corporation and its associated corporations together earn more than $50,000 of passive investment income in a year, that limit is reduced by $5 for every $1 over $50,000. At $150,000 it is gone.

The word that matters is associated. Legally, your operating company and your holding company are separate. For this rule, they are counted together. Moving investments into a holding company you control does not by itself avoid the rule. The full rule is in The Passive Income Rule for Canadian Corporations.

A worked example, in dollars

An owner controls an operating company and a holding company. The operating company has $500,000 or more of active business income and no investments. The holding company's portfolio produced $100,000 of passive income in the prior year.

Passive income in the holding company$100,000
Passive income in the operating company$0
Counted together$100,000
Over the $50,000 line$50,000
Federal business limit removed, at $5 for every $1 over$250,000
Federal rate on that $250,000 of the operating company's income15%, not 9%
More federal tax, before provincial tax$15,000 a year

Split the same $100,000 between the two companies in any proportion and the answer is the same. The investments sit in one company. The cost shows up in the other.

The provincial effect depends on your province. This is an illustration, not your corporation's figures.

When a holding company earns its place

These are patterns, not rules. A holding company is more likely to be justified when:

  • The business produces surplus year after year, after paying you and reinvesting.
  • There is a clear plan for that surplus.
  • You are prepared to maintain a second corporation and its records.
  • Your accountant and lawyer are working from the same objective.

It is less likely to be justified when surplus is small or uneven, when you withdraw most of it personally anyway, or when the structure is being added just in case.

If a sale is possible one day, there is one more reason to plan early. The lifetime capital gains exemption is $1,275,000 for 2026, and a corporation that holds too much in passive assets can put that exemption at risk on a share sale. Where surplus is held is part of that conversation with your accountant.

What your accountant does, and what we do

Your accountant is in charge of the tax. That includes whether your corporations are associated, how dividends move between them, the passive income figure for the group and the tax accounts in each company. Your lawyer handles the share structure and the legal steps. Whether to have a holding company at all is a decision you make with them.

Our part is the investment account, in whichever corporation holds it. We build corporate portfolios to be low-distribution, so passive income is planned for, not discovered at filing. With your permission, we coordinate directly with your accountant. Nothing is ever paid between us and your accountant, in either direction.

Common Questions

Short answers to the questions owners ask.

Do I need a holding company to invest corporate money?
No. A corporation can hold an investment account in its own name, whether it is an operating company, a professional corporation or a holding company. Whether a holding company makes sense for you is a question for your accountant and lawyer. The passive income rule counts associated corporations together.
Does a holding company avoid the passive income rule?
Not by itself. Associated corporations are counted together, so passive income earned in a holding company you control is added to the operating company's when the federal business limit is measured. Your accountant confirms which of your corporations are associated.
Is investment income taxed at a lower rate in a holding company?
No. A holding company does not change how investment income is taxed. Interest and most foreign income are fully taxable in the corporation at high rates, and half of a capital gain is taxable when the gain is realized.
Does a holding company protect my investments from creditors?
It can be part of separating surplus from operating risk, but it is not automatic protection. Timing matters, and debts you or the holding company have backed can reduce the effect. This is a question for your lawyer.
When does a holding company make sense?
Usually when surplus builds up year after year, there is a clear plan for it, and you are prepared to maintain a second corporation. If surplus is small or is withdrawn personally anyway, the added filings and tracking may not be worth it. Your accountant and lawyer can test the decision against your situation.

Key Takeaway

A holding company changes where your corporate investments sit. It does not change how they are taxed, and it does not by itself avoid the $50,000 passive income rule, because associated corporations are counted together. Decide what the structure is for first, then build the investment plan around how corporate money is taxed.
